Professional Web Design and Hosting Services Agreement
This Professional Web Design and Hosting Services Agreement (“Agreement”) is made effective as of the Date of submission of the online form, between Go2sunnyspain, a distinguished subsidiary of DanishTECH Denmark) and the client named below in the online form, collectively referred to as the “Parties”. The Client accepts the below content of this agreement when filling out the online form below and sending it to the Service Provider.
1. Services Provided: The Service Provider agrees to develop and host a website for a minimum of no less than 12 months for the Client, consisting of the following components under the BASIC Web Design Package:
- Web Design: Creation and design of up to 10 web pages in WordPress using WP Bakery. The Service Provider will initially make a website draft of webpages that will be suggested suitable for the Client, which can be edited or deleted and followed by the client online. A webpage is defined as a digital document accessible via the Internet or other network, which is part of a website. It is identified by a unique URL and can contain text, images, links, and other multimedia content, presented in a structured and navigable format. This definition encompasses not only primary pages but also any subpages, which counts as an individual webpage in terms of billing for a one-time fee of €99.95, and are integral parts of the website’s structure, offering additional content and functionality linked to or branching from the main page. Each webpage, including subpages, incurs a one-time fee of €79.96 pr. webpage and/or subpage, reflecting the cost associated with the design, development, and maintenance required to create and host the page. The Client agrees to, when signing this contract that the Service Provider retains the right to always define the definition of Primary and web Subpages are if they are subject to billing of the one-time fee of €99.95 pr. webpage and/or subpage.
- Content Implementation: Integration of Client-submitted photos, logos, and the “About Us” text, provided through the BASIC Web Design Package online form.
- Domain Name: Registration and setup of a domain name.
- Webpage Text Editing: Editing and formatting of webpage text content.
2. Hosting Services: The website will be hosted on high-speed, professional web servers ensuring optimal performance and reliability.
Administrator Rights and Restoration Fees
5.1 Grant of Administrator Rights. Upon completion of the website design and deployment, Go2sunnyspain (“Client”) will be granted full website administrator rights. These rights allow the Client to manage, modify, and control the website without restriction. It is the Client’s responsibility to maintain the integrity and operational functionality of the website.
5.2 Consequences of Mismanagement. The Client acknowledges that improper management of the website, including but not limited to the deletion of critical files, the removal of administrator access, or any actions that corrupt the website, can severely affect the website’s functionality and service delivery.
5.3 Restoration Services. In the event that the Client’s actions result in the deletion or corruption of the website, whether accidental or otherwise, the Client agrees to compensate the Service Provider for the restoration of the website. The compensation will be as follows:
a. One-time Restoration Fee: The Client shall pay a one-time fee of EUR 749.00 for the initiation of restoration services.
b. Hourly Fees: Additionally, the Client agrees to pay an hourly fee of EUR 99.95 for each hour or part thereof required to restore the website. This hourly fee applies to all time spent by the Service Provider’s personnel in restoring the website to its full functionality.
5.4 Acknowledgment of Fees. The Client acknowledges that these fees reflect the necessary resources and labor involved in restoring the website and agrees to pay these fees promptly upon invoicing.
5.5 Preventive Measures. The Service Provider recommends that the Client regularly back up their website data and use caution when making significant changes to the website settings or content. The Service Provider may offer additional support and training on the proper management of the website, which the Client is encouraged to utilize to prevent mismanagement.
3. Pricing and Payment Terms:
- One-Time Setup Fee: The Client agrees to pay a one-time setup fee of €749.
- Monthly Webhotel Subscription Fee: The Client agrees to a monthly subscription fee of €49 for hosting services.
- Additional Webpages: Any additional webpages, beyond the initial 10, will be designed at a cost of €99.95per webpage, including the integration of Client-submitted photos and text as per the specifications of the BASIC Web Design Package online form.
- ALL above mentioned fee´s are excluding Danish VAT and after Clients payment has been registered, which can be done either by using the online payment payment buttons for the selected Webdesign Package and Webhotel Maintenance Service Monthly or via IBAN transfer with Invoice. Once the Clients Payment has been registered, an PAID Invoice confirmation receipt will be emailed to the Client.
- Any thirdparty webdesign Tools and/or Plugins other than WP Bakery such as licences are paid for in full by the Client and a onetime implementation fee of 99.95 EUR will be added and must be paid by the client before any implementation is done. Payment must be done via IBAN Transfer.
4. Client Responsibilities: The Client shall provide all content, including images, logos, and texts, in a timely and organized manner through the designated BASIC Web Design Package online form. The Client is the only legally responsible Person-Organisation-Business that all content provided is accurate and legally owned or licensed for use on the website.
5. Intellectual Property Rights: All designs, coding, and other works created under this Agreement by the Service Provider will be the exclusive property of the Client upon final payment. The Service Provider retains the right to showcase the work in their portfolio and marketing materials unless otherwise agreed in writing.
6. Term and Termination: This Agreement shall commence on the Date of the below online forms submission and continue for a minimum of 12 months until the completion of the paid subscription Services. Termination can be done by the end of the 12 months by the both Parties with a 30-day written email notice before each 1st. of each month. Upon termination, all outstanding payments shall be due and payable.
7. Limitation of Liability: The Client furthermore accepts that in no event shall the Service Provider be liable for any indirect, special, or consequential damages or refunds of paid services by the Client.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Denmark for the Service Provider, and for the Client the country of origins, without regard to its conflict of law principles.
By filling out and sending via email the Contract online form below, the Client agree to the terms and conditions outlined above in this BASIC Webdesign Package Professional Web Design and Hosting Services Agreement.
The Client agrees to have paid the monthly webhotel subscription and the onetime setup fee, using the subscription buttons listed on this webpage, before ANY Webdesign starts and any domain name will be registered.
